ARTICLE VII - OFFICERS

Section 7.1. Required Officers.

    The Corporation shall have the following officers: President, Vice President, Secretary, Treasurer, Club Radio Station Trustee, and Activities Coordinator.

Section 7.2. Other Officers.

    The Board may create such additional offices as it deems necessary or convenient and may appoint persons to serve in such offices at the pleasure of the Board.

Section 7.3. Duties and Authority of Officers.

    (a) The President shall preside at all meetings of the members and of the Board. He or she may sign, with the Secretary or any other proper officer of the Corporation authorized by the Board, any deeds mortgages, bonds, contracts, or other instruments which the Board has authorized to be executed, except in cases where the signing and execution thereof shall be expressly delegated by the Board or by These Bylaws or by statute to some other officer or agent of the Corporation; and in general he or she shall perform all duties incident to the office of President such other duties as may be prescribed by the Board of Directors from time to time.

    (b) In the absence of the President or in event of his or her inability or refusal to act, the Vice President shall perform the duties of the President, and when so acting, shall have all the powers of and be subject to all the restrictions upon the President. The Vice President shall perform such other duties as from time to time may be assigned to him by the President or by the Board.

    (c) The Treasurer shall receive and hold money, securities and other such property for the Corporation (depositing all such property in the name of the Corporation in such banks or other depositaries as shall be selected in accordance with the provisions of These Bylaws), disperse funds in accordance with the Budget (or otherwise with the express authorization of the Board), collect dues, receive applications for membership, maintain the membership list, keep the financial records of the Corporation, report on these activities regularly to the Board and membership, and in general perform all the duties incident to the office of Treasurer and such other duties as from time to time may be assigned to him or her by the President or by the Board. If required by the Board, the Treasurer shall give a bond for the faithful discharge of his of her duties in such sum and with such surety or sureties as the Board shall determine, provided that the expense of the bond shall be paid by the Corporation.

    (d) The Secretary shall have responsibility for preparing minutes of the directors' and members' meetings and for authenticating records of the Corporation, and in general shall perform all duties incident to the office of Secretary and such other duties as from time to time may be assigned to him or her by the President or by the Board.

    (e) The Station Trustee shall perform all duties as prescribed by the appropriate Federal Communications Commission regulations.

    (f) The Activities Coordinator shall be responsible for all programs and group activities undertaken by the club. He or she may appoint others to assist in carrying out these activities.

Section 7.4. Resignation and Removal of Officers.

    (a) An Officer may resign at any time by giving notice to the Corporation. A resignation is effective when the notice is given unless the notice specifies a future effective time. If a resignation is made effective at a future time and the Board accepts the future effective time, the Board may fill the pending vacancy before the effective time if the Board provides that the successor does not take office until the effective time.

    (b) An Officer may be removed at any time with or without cause by the members, subject to the requirements of Section 5.4 governing the removal of a director.

    (c) The resignation or removal of an officer shall also constitute a resignation or removal of such officer from the corresponding position on the Board.

Section 7.5. Contract Rights of Officers.

    The appointment of an Officer does not itself create contract rights. An Officer's removal does not affect the Officer's contract rights, if any, with the Corporation. An Officer's resignation does not affect the Corporation's contract rights, if any, with the Officer.

Section 7.6. Vacancies.

    Vacancies in the offices specific in Section 7.1 may be filled in the manner specified in Section 5.5 for Board vacancies. Vacancies in other offices may be filled by the Board.
