ARTICLE III - MEMBERS

Section 3.1. Qualification of Members.

    (a) Persons shall become members of the Corporation upon of the following:

        (i) Completion and delivery to the Treasurer of a membership application, which the Treasurer shall maintain and provide to all persons interested in membership upon request, that indicates the applicant’s awareness of the purposes of the Corporation.

        (ii) Payment in full to the Treasurer of annual membership dues.

Section 3.2. Membership Dues.

    The annual dues for membership shall be $8.00 for individuals or $10.00 for families, and shall be due on the first of each year. If a member joins other than on the first of the year, such member’s initial dues shall be prorated. The amount of membership Dues may be changed only by membership Vote. Although failure to pay annual dues may result in termination of membership under Section 3.3, nothing in this Section 3.2 shall create any liability by any member to the Corporation.

Section 3.3. Termination of Membership.

    (a) Any member may resign by filing a written resignation with the Secretary.

    (b) A member’s failure to pay dues for 60 days after they are due shall result in the termination of such member’s membership, after notice and hearing under subsections (d) and (e).

    (c) The membership of a member determined by the Board, after notice and hearing under subsections (d) and (e), to have conducted himself or herself in a manner unworthy of membership in the Corporation may be terminated by the members by three-fourths of the votes cast by the members.

    (d) A member subject to termination under this Section 3.3 shall be given notice of such proposed termination by first class or certified mail, sent to the last address of the member shown on the Corporation’s records. Such notice shall inform the member of the effective date of the proposed termination (which shall be no less than 15 days after such notice), the reasons therefor, and how to request for an appearance before the Board to consider the termination.

    (e) Upon receiving a request from a member subject to termination, the Board shall meet promptly to hear the member. The Board shall thereafter decide on the proposed termination, giving consideration to all relevant facts and circumstances surrounding the termination. In any case in which a member requests a hearing under this Section 3.3(b), the termination date shall be the later of the effective date specified in the notice pursuant to Section 3.3(a) and the sixth day after a hearing under this Section 3.3(b) (or the member’s earlier withdrawal of the request for such a hearing).

    (f) The Corporation shall provide notice of any directors' meeting at which the termination of a member’s membership is to be considered under subsection (c) in accordance with Section 6.3. The notice must also state that the purpose, or one of the purposes, of the meeting is to consider terminating the member’s membership (including the name of the member in question).

    (g) If the Board seeks to terminate a member’s membership under this subsection (c), the Corporation shall give notice to its members of the proposed membership meeting in accordance with Sections 4.5 and 4.6. The notice must also state that the purpose, or one of the purposes, of the meeting is to consider terminating the member’s membership (including the name of the member in question).

Section 3.4. Voting Rights.

    Each member shall be entitled to one vote on each matter submitted to a vote of the members.

Section 3.5. Transfer of Membership.

     Membership in the Corporation is not transferable or assignable.
